1. Acceptance of Terms

By accessing and using TVision Consulting's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all visitors, users, and others who access or use our services. By accessing or using our service, you agree to be bound by these terms. If you disagree with any part of these terms, then you may not access the service.

2. Description of Services

TVision Consulting provides the following professional services:

  • IT consulting and management solutions
  • Cloud computing services and migration
  • Digital marketing and SEO optimization
  • Mobile application development
  • Custom software development
  • Technology strategy and consulting
  • System integration and automation

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

3. Service Engagement and Client Requirements

TVision Consulting operates on a direct client engagement model without user registration systems. All services are provided through direct consultation and contractual agreements.

  • Clients must be at least 18 years old or represent a legal entity
  • All project requirements must be documented and agreed upon in writing
  • Clients are responsible for providing accurate project specifications
  • Changes to project scope require written approval and may affect pricing
  • Clear communication channels must be established for project management

4. Payment Terms and Billing

Payment Methods

We accept various payment methods including credit cards, bank transfers, and approved digital payment platforms.

Billing Cycles

  • Project-based services: Payment as per agreed milestone schedule
  • Recurring services: Monthly or annual billing cycles
  • Consulting services: Hourly or daily rates as agreed
  • Emergency services: Immediate payment upon completion

Late Payments

Late payments may result in service suspension and additional fees. Accounts overdue by more than 30 days may be subject to collection procedures and legal action.

5. Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of TVision Consulting and are protected by copyright, trademark, and other intellectual property laws.

Client Intellectual Property

  • Clients retain ownership of their pre-existing intellectual property
  • Custom developments become exclusive client property upon full payment
  • We retain rights to general methodologies and know-how
  • Third-party tools and libraries remain under their respective licenses

Attribution Requirements

All websites and applications developed by TVision Consulting must display appropriate attribution credits:

  • "Powered by TVision Consulting" or "Developed by TVision Consulting" credit
  • Attribution must be visible on the website footer or about page
  • Link to www.tvisionconsulting.com where technically feasible
  • Removal of attribution requires written agreement and may incur additional fees

Single-Use License

Upon full payment, we grant you an exclusive, single-use license for the developed application or website. This means:

  • The solution is developed exclusively for your use
  • You may not resell, redistribute, or license the custom code to third parties
  • The license covers use for your intended business purpose only
  • Modifications and enhancements remain under the same license terms

6. Confidentiality and Non-Disclosure

We understand that in the course of providing services, we may have access to confidential information. We commit to:

  • Maintain strict confidentiality of all client information
  • Use information solely for providing agreed services
  • Implement appropriate security measures to protect data
  • Not disclose information to third parties without consent
  • Return or destroy confidential information upon request

7. Service Level Agreement (SLA)

Important: Technical support and maintenance services are available exclusively to clients with active maintenance contracts. Support is not provided for completed projects without ongoing maintenance agreements.

Maintenance Contract Clients - Response Times

  • Critical issues: Within 4 hours during business hours
  • High priority: Within 24 hours
  • Medium priority: Within 48 hours
  • Low priority: Within 5 business days

Maintenance Contract Clients - Uptime Guarantee

For hosted services under maintenance contracts, we strive to maintain 99.9% uptime. Planned maintenance will be scheduled during off-peak hours with advance notice.

Non-Maintenance Clients

Clients without active maintenance contracts may request support services on a time-and-materials basis with separate billing. Response times are not guaranteed for non-maintenance clients.

8. Limitation of Liability

In no event shall TVision Consulting, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of our services.

Our total liability for any claims shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

9. Warranties and Disclaimers

Limited Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 90-day warranty on custom development work for defects in materials and workmanship.

Disclaimer

Except as expressly stated herein, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

10. Termination

Termination by Client

You may terminate services at any time with 30 days written notice. You remain responsible for payment of all services rendered up to the termination date.

Termination by TVision Consulting

We may terminate services immediately for breach of these terms, non-payment, or if we determine that continuing the relationship would be detrimental to our business interests.

Effect of Termination

  • All outstanding invoices become immediately due
  • Access to our systems and services will be revoked
  • We will provide reasonable assistance in data migration
  • Confidentiality obligations survive termination

11. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through the following process:

  • Direct negotiation between the parties
  • Mediation through a mutually agreed mediator
  • Binding arbitration if mediation fails
  • Litigation as a last resort in the jurisdiction of our business location

12. Force Majeure

We shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, pandemic, government action, war, terrorism, or other causes beyond our reasonable control.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TVision Consulting is incorporated, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the new terms.

We will make reasonable efforts to notify users of material changes through email or prominent notices on our website.
